Terms of Service

These Terms of Service ("Terms") govern your use of the Itinera route optimization and fleet management platform ("Platform") operated by Itinera ("we," "us," or "our"). By accessing or using the Platform, you agree to be bound by these Terms.
1. Eligibility and Accounts
Access to the Platform is by invitation only. Your organization's administrator creates and manages user accounts. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify your administrator immediately of any unauthorized use of your account.
2. Acceptable Use
You agree to use the Platform only for its intended purpose — managing routes, fleet operations, and related logistics for your organization. You agree not to:
- Share your login credentials with unauthorized individuals
- Attempt to access data belonging to other organizations
- Interfere with or disrupt the Platform's infrastructure
- Use the Platform for any unlawful purpose
- Reverse-engineer, decompile, or attempt to extract the source code of the Platform
- Upload malicious files or content
3. Data Ownership
Your organization retains ownership of all data entered into the Platform, including route information, fleet data, fuel pricing, and operational records. We do not claim ownership of your data. We access and process your data solely to provide and improve the Platform as described in our Privacy Policy.
4. Platform Availability
We strive to maintain the Platform's availability but do not guarantee uninterrupted access. The Platform may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to provide advance notice of planned maintenance.
5. Third-Party Services
The Platform integrates with third-party services including Google Maps (for routing and geocoding) and optionally Samsara (for fleet telematics). Your use of these integrations is also subject to those providers' terms of service. We are not responsible for the availability or accuracy of third-party services.
6. Route and Fuel Data Disclaimer
Route recommendations, fuel stop suggestions, and fuel price data provided by the Platform are for informational purposes and operational guidance. While we strive for accuracy, we do not guarantee that routes are free from permit violations, that fuel prices are current, or that suggested routes are optimal for every load and vehicle configuration. It is the responsibility of the carrier and driver to verify permit compliance, road conditions, and fuel pricing before and during transit.
7. Limitation of Liability
To the maximum extent permitted by law, Itinera shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of the Platform. Our total liability for any claim arising from these Terms or your use of the Platform shall not exceed the fees paid by your organization in the twelve (12) months preceding the claim.
8. Disclaimer of Warranties
The Platform is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
9. Termination
Your organization's administrator may deactivate your account at any time. We may suspend or terminate access to the Platform if these Terms are violated or if continued access poses a security risk. Upon termination, your right to use the Platform ceases immediately. Your organization may request an export of its data prior to account closure.
10. Changes to These Terms
We may update these Terms from time to time. We will notify users of material changes by posting the updated Terms on this page with a revised "Last updated" date. Continued use of the Platform after changes constitutes acceptance of the revised Terms.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.
